These Terms of Service govern the relationship between Rent a Print ("we", "us") and the business customer ("Customer", "you") who enters into a managed print rental agreement with us. By signing a Service Agreement or using our services, you accept these terms in full.

These terms apply to business customers only. Our services are not offered to consumers. By engaging our services you confirm that you are acting in the course of a business or profession.

1. Definitions

  • "Agreement" – the Service Agreement (order form or contract) signed between Rent a Print and the Customer, incorporating these Terms.
  • "Equipment" – any printer, multifunction device, plotter, or label printer supplied under the Agreement.
  • "Service" – the managed print service including equipment rental, maintenance, consumables supply, and remote monitoring as specified in the Agreement.
  • "Monthly Fee" – the recurring flat-rate charge payable for the Service as set out in the Agreement.
  • "Agreed Volume" – the monthly page allowance included within the Monthly Fee.
  • "Overage Rate" – the per-page charge applied to pages printed above the Agreed Volume.
  • "Term" – the duration of the Agreement as specified therein.

2. The Agreement

The Agreement consists of: (a) the signed Service Agreement or order confirmation; (b) these Terms of Service; and (c) any applicable Service Level Agreement (SLA). In the event of conflict, the signed Service Agreement takes precedence, followed by any SLA, then these Terms.

The Agreement comes into force on the date both parties have signed it, or on the date equipment is delivered — whichever is earlier.

3. Equipment

3.1 Ownership

All Equipment remains the property of Rent a Print at all times. The Customer has no right to sell, sub-let, charge, or otherwise encumber the Equipment. The Customer must not remove any ownership labels or identification marks.

3.2 Delivery & Installation

We will deliver and install the Equipment at the address specified in the Agreement. The Customer must provide reasonable access, a suitable power supply, and network connectivity. Installation includes network configuration, driver setup, and a basic staff orientation session.

3.3 Risk

Risk in the Equipment passes to the Customer on delivery and remains with the Customer until collection by Rent a Print. The Customer is responsible for loss, theft, or damage to the Equipment beyond fair wear and tear during the Term.

3.4 Upgrades & Substitutions

We reserve the right to substitute equivalent Equipment where the specified model becomes unavailable. Substituted equipment will meet or exceed the original specification. Equipment upgrades requested by the Customer may be accommodated at renewal or mid-term subject to a written variation to the Agreement.

4. Service & Support

4.1 What's included

The Monthly Fee covers:

  • Equipment rental for the Term.
  • All scheduled and reactive maintenance, including parts and labour.
  • Toner and consumables (excluding paper and staples unless specified).
  • Remote monitoring and automatic consumable dispatch.
  • Remote support and on-site repair within our standard response targets.

4.2 Response times

Our standard response target is 4 business hours for on-site attendance from the time a fault is reported. Approximately 40% of faults are resolved remotely without a site visit. Response targets are aspirational unless a separate SLA document guarantees specific timeframes in writing.

4.3 Exclusions

The Service does not cover: damage caused by misuse, negligence, accident, or unauthorised modification; consumables other than toner (e.g., paper, staples); third-party software issues; or issues arising from failure of the Customer's network or power supply.

5. Customer Obligations

The Customer agrees to:

  • Use the Equipment only for normal business printing purposes and in accordance with manufacturer guidelines.
  • Keep the Equipment in a suitable environment (temperature, humidity, ventilation) as specified in documentation provided at installation.
  • Report faults promptly via our designated support channel.
  • Provide safe and timely access to equipment for maintenance or collection.
  • Not attempt to repair, modify, or have third parties service the Equipment.
  • Not relocate Equipment to a different address without prior written consent from Rent a Print.
  • Ensure that users of the Equipment are made aware of appropriate usage.

6. Fees & Payment

6.1 Monthly Fee

The Monthly Fee is payable in advance on the date specified in the Agreement, typically by direct debit or bank transfer. Fees are quoted exclusive of VAT (or applicable local sales tax) unless stated otherwise.

6.2 Overage charges

Pages printed above the Agreed Volume are charged at the Overage Rate. Overage charges are invoiced monthly in arrears based on meter readings collected by our remote monitoring system or reported by the Customer.

6.3 Late payment

Invoices are due within 30 days of the invoice date. Late payments accrue interest at 8% per annum above the European Central Bank base rate, calculated daily from the due date. We reserve the right to suspend the Service after 14 days' written notice where fees remain unpaid.

6.4 Price reviews

Monthly Fees may be adjusted annually in line with the Harmonised Index of Consumer Prices (HICP) for the country of service delivery, with 60 days' written notice. Overage Rates may be reviewed at each contract renewal.

7. Page Volume & Overages

The Agreed Volume is based on your estimated monthly print usage at the time of contracting. We will alert you if your usage consistently exceeds your Agreed Volume and will recommend a revised volume tier. There are no penalties for overages — you simply pay the Overage Rate for additional pages. Unused pages within the Agreed Volume do not roll over to the next month.

8. Term & Termination

8.1 Initial term

The Agreement runs for the Term specified in the Service Agreement. At the end of the Term, the Agreement automatically continues on a rolling monthly basis unless either party gives 90 days' written notice of termination.

8.2 Early termination by Customer

If the Customer wishes to terminate before the end of the initial Term, an early termination fee equal to the Monthly Fee for the remaining months of the Term is payable. This reflects our investment in equipment acquisition and installation.

8.3 Termination for cause

Either party may terminate the Agreement immediately on written notice if the other party: commits a material breach that remains uncured 30 days after written notice; becomes insolvent, enters administration, or ceases to trade; or commits fraud in connection with the Agreement.

8.4 On termination

On termination for any reason, the Customer must provide access for Rent a Print to collect the Equipment within 10 business days. All outstanding fees become immediately payable. Rent a Print will arrange collection at no additional charge during normal business hours.

9. Liability & Warranties

9.1 Our warranties

We warrant that: the Equipment will be fit for its intended purpose; the Service will be performed with reasonable care and skill; and we have the right to grant the Customer use of the Equipment.

9.2 Limitation of liability

To the fullest extent permitted by law, our total liability to the Customer for any claim arising under or in connection with the Agreement shall not exceed the total Monthly Fees paid in the 12 months immediately preceding the event giving rise to the claim.

We are not liable for: indirect or consequential loss; loss of profit, revenue, or business; loss of data; or losses arising from the Customer's failure to comply with its obligations under the Agreement.

9.3 Nothing excluded

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

10. Intellectual Property

All intellectual property rights in the Equipment, our software, monitoring tools, and documentation remain with Rent a Print or its licensors. The Customer receives a non-exclusive, non-transferable licence to use such materials solely for the purpose of receiving the Service during the Term.

11. Data & Privacy

Our collection and use of personal data in connection with the Service is governed by our Privacy Policy. Device monitoring data (page counts, toner levels, error codes) is collected by our remote monitoring system to enable service delivery. This data is processed as described in the Privacy Policy and is not shared with third parties for commercial purposes.

12. Force Majeure

Neither party is in breach of the Agreement or liable for delay or failure to perform where that delay or failure results from circumstances beyond their reasonable control, including but not limited to: natural disasters, war, terrorism, pandemic, industrial action not involving that party's employees, or failure of third-party infrastructure. The affected party must notify the other promptly and take reasonable steps to mitigate the impact.

13. Governing Law

These Terms and any Agreement incorporating them are governed by the laws of the jurisdiction specified in the Service Agreement. Where no jurisdiction is specified, the laws of Lithuania apply. Any disputes that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of the applicable territory.

14. Changes to Terms

We may update these Terms from time to time. For existing customers, material changes take effect 60 days after written notice. Continued use of the Service after that date constitutes acceptance of the updated Terms. The current version is always available on our website.
